Welcome to Hotel Central. These Terms of Service ("Terms") govern your access to and use of Hotel Central, operated by Hotel Automations LLC ("Company," "we," "us," or "our"). By accessing or using Hotel Central, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.

1. Acceptance of Terms

By creating an account or using Hotel Central, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Hotel Central on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Hotel Central is an intelligent command center for hotel operations, providing tools and features for:

  • Maintenance management and work orders
  • Staff scheduling and team coordination
  • Daily task management and automation
  • Guest complaint tracking
  • Inventory and supplies management
  • Housekeeping and room tracking
  • Communications and notifications
  • Reporting and operational insights

3. Account Registration

3.1 Account Creation

To use Hotel Central, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Types

Hotel Central offers different user roles including Hotel Administrators and Staff members. Each role has specific permissions and access levels as determined by the account administrator.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription and Payment

4.1 Subscription Plans

Hotel Central is offered as a subscription-based service. Subscription plans, pricing, and features are described on our pricing page and may be updated from time to time.

4.2 Access Period

We may offer an initial access period for onboarding. At the end of the access period, your subscription will automatically convert to a paid subscription unless you cancel before the access period ends.

4.3 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Payment is processed through Hotel Central Payment Processing (powered by Stripe). By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

4.5 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days before taking effect and will apply to your next billing cycle.

5. Acceptable Use

You agree to use Hotel Central only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the service for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the service or servers
  • Share your account credentials with unauthorized users
  • Use automated means to access the service without our permission
  • Reverse engineer, decompile, or disassemble any part of the service
  • Remove or alter any proprietary notices or labels
  • Use the service to store or transmit infringing, libelous, or otherwise objectionable content

Hotel Central provides a platform through which Customer ("Hotel") may send text messages to Hotel's guests using a phone number provisioned by Hotel Central. Because Hotel Central operates as a service provider to Hotel for these communications, Hotel agrees as follows:

  1. CONSENT. Hotel represents and warrants that, before providing any guest's mobile phone number to the Hotel Central platform, Hotel has obtained that guest's prior express consent to receive non-marketing, transactional text messages from Hotel.
  2. NO MARKETING WITHOUT SEPARATE CONSENT. Hotel will not use the Hotel Central platform to send promotional or marketing text messages without separately obtaining each recipient's prior express written consent as required by the federal Telephone Consumer Protection Act ("TCPA"), 47 U.S.C. § 227, and applicable state laws.
  3. DISCLOSURE. At the point of consent, Hotel discloses to the guest that (a) message and data rates may apply, (b) message frequency varies based on the guest's stay, and (c) the guest may reply STOP at any time to unsubscribe.
  4. PLATFORM-WIDE OPT-OUT. Hotel acknowledges that opt-out requests received by Hotel Central are honored across the entire Hotel Central platform. If a guest replies STOP to a message sent through the platform — even if the original message was sent on behalf of a different hotel — Hotel will not be able to text that guest through the Hotel Central platform without a fresh opt-in from the guest. Hotel will not attempt to circumvent this platform-wide suppression.
  5. ATTESTATION. Hotel will, upon Hotel Central's request, cause an authorized representative of Hotel to execute an SMS Consent Attestation in the form provided by Hotel Central before Hotel Central submits an A2P 10DLC campaign on Hotel's behalf.
  6. INDEMNIFICATION. Hotel agrees to indemnify, defend, and hold harmless Hotel Central, its affiliates, and its officers, directors, employees, and agents from and against any and all claims, damages, penalties, fines, costs, and reasonable attorneys' fees arising from or relating to: (a) Hotel's failure to obtain valid consent from any guest before causing a message to be sent through the platform; (b) Hotel's instructions to send messages to any phone number; (c) any message content Hotel originates or directs; and (d) any violation of the TCPA, the CAN-SPAM Act, the federal Telemarketing Sales Rule, or any comparable state law by Hotel or by a third party acting on Hotel's behalf.
  7. RECORD-KEEPING. Hotel will maintain a record of each guest's consent, including the date, method, and language of the disclosure, for the period required by applicable law, and will produce such records to Hotel Central upon reasonable request in connection with a carrier inquiry, TCR audit, or legal demand.
  8. SUBPROCESSOR. Hotel Central uses Twilio Inc. as its SMS infrastructure provider. Hotel acknowledges that Twilio's terms (https://www.twilio.com/legal) apply to messages routed through Twilio's network. 7. Intellectual Property

7.1 Our Intellectual Property

Hotel Central and its original content, features, and functionality are owned by Hotel Automations LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written permission.

7.2 Your Content

You retain ownership of any data or content you upload to Hotel Central. By uploading content, you grant us a limited license to store, process, and display that content solely for the purpose of providing the service to you.

7.3 Feedback

If you provide us with feedback or suggestions, you grant us the right to use such feedback without any obligation to you.

8. Data and Privacy

Your use of Hotel Central is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. You acknowledge that you are responsible for ensuring that your use of Hotel Central complies with applicable data protection laws.

9. Third-Party Services

Hotel Central may integrate with third-party services (such as payment processors, AI providers, and analytics tools). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

10. Disclaimers

HOTEL CENTRAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The service will be uninterrupted, secure, or error-free
  • The results obtained from the service will be accurate or reliable
  • Any errors will be corrected
  • The service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOTEL AUTOMATIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF HOTEL CENTRAL.

Our total liability for any claims arising from or related to these Terms or your use of Hotel Central shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hotel Automations LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of Hotel Central
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload or transmit through the service

13. Termination

We may terminate or suspend your account and access to Hotel Central immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the service will immediately cease
  • We may delete your account and associated data
  • Provisions of these Terms that by their nature should survive termination will remain in effect

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of Hotel Central after such changes constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of Hotel Central shall be resolved in the state or federal courts located in Bernalillo County, New Mexico, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hotel Automations LLC regarding Hotel Central and supersede any prior agreements.
